Agreement to these Terms
These Terms and Conditions ("Terms") govern your access to and use of the Conigma platform, websites, applications, and integrations (collectively, the "Service") provided by Conigma, Inc. ("Conigma," "we," "us," or "our"), a company incorporated in Dover, Delaware, USA.
By accessing or using the Service, creating an account, or connecting Conigma to a third-party service such as Slack, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If you are entering into these Terms on behalf of a company or other organization, you represent that you have authority to bind that organization, and "you" refers to that organization. If you do not agree to these Terms, do not use the Service.
1. The Service
Conigma is a go-to-market (GTM) and customer relationship management (CRM) automation platform. The Service lets you build and run flows that keep your CRM in sync with the tools your team uses, including Slack — for example, posting deal and pipeline updates to Slack channels, sending personalized summaries by direct message, drafting messages with AI assistance, and retrieving relevant Slack messages to add context to a record.
We may update, improve, or modify the Service from time to time. We may also add or remove features, and we will use reasonable efforts to notify you of material changes that adversely affect your use of the Service.
2. Eligibility and Accounts
You must be at least 18 years old and capable of forming a binding contract to use the Service. The Service is intended for business use.
To use most features you must create an account. You agree to provide accurate and complete information and to keep it up to date. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us promptly at the contact address below if you suspect unauthorized use of your account.
3. License to Use the Service
Subject to your compliance with these Terms and payment of any applicable fees, Conigma grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your internal business purposes. All rights not expressly granted are reserved by Conigma.
4. Third-Party Services and the Slack Integration
The Service integrates with third-party products and services, including Slack, and may rely on others such as payment processors and AI model providers (collectively, "Third-Party Services").
- Your authority and their terms. When you connect a Third-Party Service to Conigma, you represent that you have the right and authority to do so, and you agree to comply with that service's own terms and policies. Your use of any Third-Party Service is governed by that service's terms, not these Terms. With respect to Slack specifically, you remain responsible for complying with Slack's applicable terms of service and acceptable use policies.
- Scope of access. Conigma accesses, stores, and processes data from Third-Party Services only as needed to provide the features you enable, and as described in our Privacy Policy. Conigma does not index or crawl your Slack workspace; actions are performed on the channels and connections the connecting user already has access to.
- Availability. Third-Party Services are operated by third parties and may change or become unavailable. Conigma is not responsible for the acts, omissions, or availability of any Third-Party Service.
- No affiliation. Conigma is an independent application and is not endorsed by, certified by, or affiliated with Slack or Salesforce, Inc. "Slack" is a trademark of Salesforce, Inc., and all other product names, logos, and trademarks are the property of their respective owners. Use of those names does not imply any affiliation or endorsement.
5. AI-Assisted Features
The Service includes AI-assisted features such as drafting, summarization, and research. These features rely on third-party AI models accessed through a model-routing provider.
- Outputs may be imperfect. AI-generated output may be inaccurate, incomplete, or otherwise unsuitable. You are responsible for reviewing AI-assisted output before relying on, sending, or publishing it. Conigma does not warrant the accuracy or fitness of any AI output.
- No model training on your content. We configure our AI providers so that content you submit through the Service is not used to train their models. We do not use your customer data or data obtained through your connected integrations to train AI models.
- Your responsibility. You remain solely responsible for any content you send, post, or store using the Service, including content produced with AI assistance.
6. Customer Data and Privacy
As between you and Conigma, you retain all rights to the data you submit to, or that the Service collects on your behalf from, your connected accounts ("Customer Data"). You grant Conigma a limited license to host, process, transmit, and display Customer Data solely to provide and support the Service.
Our collection and use of personal information is described in our Privacy Policy. You are responsible for ensuring you have the necessary rights and permissions to provide Customer Data to the Service and to have it processed as described.
7. Acceptable Use
You agree not to, and not to permit others to:
- use the Service in violation of any applicable law or regulation, or in violation of the terms of any Third-Party Service (including Slack);
- access or use the Service to build a competing product, or to copy, reverse engineer, decompile, or attempt to derive the source code of the Service, except where such restriction is prohibited by law;
- upload, transmit, or store content that is unlawful, infringing, harmful, deceptive, or that you do not have the right to share;
- send spam or unsolicited messages, or use the Service to harass or harm others;
- interfere with, disrupt, or attempt to gain unauthorized access to the Service, its infrastructure, or any connected system;
- use the Service to facilitate financial transactions, cryptocurrency transactions, or the minting or transfer of digital assets within Slack;
- remove, obscure, or alter any proprietary notices; or
- resell, sublicense, or otherwise make the Service available to third parties except as expressly permitted.
We may suspend or limit access to the Service if we reasonably believe these Terms are being violated or that continued use poses a risk to the Service or others.
8. Fees, Subscriptions, and Billing
Some features of the Service require a paid subscription. If you purchase a paid plan:
- Fees, billing frequency, and plan details are presented at the time of purchase. Unless stated otherwise, subscriptions renew automatically for successive periods until cancelled.
- Payments are processed by our third-party payment processor (Stripe). By providing payment information, you authorize us and our processor to charge the applicable fees.
- Fees are exclusive of taxes, which you are responsible for. Except as required by law or expressly stated, fees are non-refundable.
- We may change pricing or plan features on a prospective basis, with notice before the change takes effect for your next billing period.
You may cancel a subscription at any time; cancellation takes effect at the end of the then-current billing period.
9. Intellectual Property
The Service, including all software, design, text, graphics, and other materials (excluding Customer Data), and all related intellectual property rights, are owned by Conigma or its licensors. These Terms do not transfer any ownership in the Service to you.
If you provide feedback or suggestions about the Service, you grant Conigma a perpetual, royalty-free license to use that feedback without restriction or obligation to you.
10. Term, Termination, and Data Deletion
These Terms apply while you use the Service. You may stop using the Service and close your account at any time. We may suspend or terminate your access if you materially breach these Terms, if required by law, or if your continued use poses a security or legal risk.
On termination, your right to use the Service ends. Consistent with our Privacy Policy: disconnecting an integration deletes that integration's stored data, including stored Slack automation event records; deleting a workspace deletes all associated data; and soft-deleted records are permanently purged within the periods described in the Privacy Policy. Provisions that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and indemnification) will survive.
11. Disclaimers
The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Conigma does not warrant that the Service will be uninterrupted, error-free, or secure, or that any AI-assisted output will be accurate or reliable. Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.
12. Limitation of Liability
To the maximum extent permitted by law, Conigma and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of (or inability to use) the Service. To the maximum extent permitted by law, Conigma's total aggregate liability arising out of or related to these Terms or the Service will not exceed the amounts you paid to Conigma for the Service in the twelve (12) months preceding the event giving rise to the claim, or one hundred U.S. dollars (USD 100) if you have paid nothing.
13. Indemnification
You agree to indemnify and hold harmless Conigma and its officers, employees, and agents from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to your Customer Data, your use of the Service, your connected Third-Party Services, or your violation of these Terms or applicable law.
14. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
15. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws principles. You agree that the state and federal courts located in Delaware will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you consent to personal jurisdiction in those courts, except where prohibited by applicable law.
16. Miscellaneous
These Terms, together with the Privacy Policy and any order or plan terms, constitute the entire agreement between you and Conigma regarding the Service and supersede any prior agreements. If any provision is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce any right is not a waiver of that right. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays or failures caused by events beyond its reasonable control.
